General website and project terms for Meridian Studio.
About these terms
These terms explain the general basis on which Meridian Studio provides project work and operates this website. A written proposal, statement of work or contract agreed for a specific project will take priority if it says something different.
Project scope
The scope, deliverables and exclusions for each project will be set out in writing before work starts. Requests outside that agreed scope may require a separate quote, timeline adjustment or written variation.
Payment terms and deposits
Project pricing, payment dates and any deposit will be confirmed in the relevant proposal or invoice. Unless agreed otherwise in writing, invoices are due by the date shown on the invoice. Work may pause if an overdue amount remains unpaid.
Timelines
Any delivery estimate depends on timely feedback, access and materials from the client. Meridian will communicate material changes as early as reasonably possible.
Client responsibilities
- Provide accurate instructions, content and access needed for the agreed work.
- Review work and provide feedback within a reasonable timeframe.
- Confirm that supplied materials can lawfully be used.
- Keep account access and credentials secure after handover.
Intellectual property
Ownership and licence terms will be confirmed for each project. Unless agreed otherwise, the client receives the rights needed to use the final paid-for deliverables. Meridian retains ownership of pre-existing tools, reusable know-how and third-party materials subject to their own licences.
Support and maintenance
Support, hosting and maintenance are included only where the relevant proposal or contract says so. Additional work after handover may be quoted separately.
Liability
Meridian will provide services with reasonable care and skill. To the extent permitted by law, Meridian is not liable for indirect or consequential losses, loss of profit, loss of opportunity or issues caused by third-party services, client-supplied materials or changes made outside the agreed work. Nothing in these terms limits liability where the law does not allow it to be limited.
Cancellation
Either party may end a project in line with the written agreement for that project. The client remains responsible for fees and reasonable costs relating to work completed up to the effective cancellation date.

Governing law
These terms are governed by the laws of England and Wales. The courts of England and Wales will have jurisdiction, unless the parties agree otherwise in writing.
